Contract Review Analysis Structure
Overall Score & Risk Level: A summarized assessment of the contract’s quality, evaluated based on factors like clarity, fairness, compliance, and overall risk exposure. It includes a simple numeric score and a descriptive risk rating.
Compatibility: Details regarding the contract’s governing Jurisdiction (which laws apply) and the Type of legal agreement (e.g., Service Agreement, Licensing Agreement, etc.).
Executive Summary: A concise, high-level overview of the entire agreement, highlighting the core terms, the most significant risks or imbalances found, and any critical missing clauses.
Parties & Scope: Identifies and lists the legal entities involved in the contract (Licensor/Service Provider and Licensee/Client) and clearly defines the Purpose or scope of the agreed-upon services or license.
Key Terms Extracted: A quick-reference table that pulls the most vital information directly from the contract text, such as Duration, Payments/Price, Governing Law, Liability Limitation, and Termination clauses.
Findings & Risks: The core analysis section that flags specific clauses that pose a risk to the user. Each Finding includes an explanation (Why it matters), the specific Reference from the contract, and a Recommended redline (suggested legal amendment).
Missing or Weak Clauses: A checklist-style section that identifies essential legal protections (like Confidentiality, Data Protection, Indemnification, and SLA) that are either completely absent or insufficiently defined in the agreement.
Top Negotiation Points: Lists the most critical issues identified in the review that require immediate attention and should be the user’s primary focus when entering negotiations with the counterparty.
Compliance & Data: Specifies whether the contract involves Personal Data and lists any relevant legal frameworks or Applicable Regulations (e.g., GDPR, HIPAA, CCPA) that the contract must adhere to.
Final Review Checklist: A summary checklist (often automated) of common contract requirements to ensure all necessary basic components are addressed, confirming the document’s completeness.
