Contract Reviewer Overview

The Contract Reviewer is an AI tool that analyzes a contract and highlights risks, key clauses, missing protections and negotiation points, so you can review agreements faster.

Note. To use AI Tools, you need an AI integration. If you don’t have one, read Managing your AI Integrations, or ask your administrator to give you access to a firm integration.

Open the Contract Reviewer

  1. In the left menu, click AI Tools.
  2. In Contract Reviewer, click Review Contract.

Review a contract

  1. Select the AI integration to use.
  2. Select the AI Model of that provider.
  3. Click Upload document to review a file,
  4. or click Paste text to paste the text of the contract. Then confirm to start the review.
  5. When the review is ready, click Print to print it.
  6. The list button opens your Saved AI Responses.

Upload document and Paste text are available after you select an AI integration.

The review

Maatdesk shows the analysis organized in sections and saves it automatically to your saved AI responses:

Overall Score & Risk LevelA score of the contract’s quality, based on clarity, fairness, compliance and risk, and a risk rating.
CompatibilityThe governing jurisdiction and the type of agreement, for example a service or licensing agreement.
Executive SummaryA short overview of the core terms, the main risks and any critical missing clauses.
Parties & ScopeThe parties and the purpose or scope of the agreement.
Key Terms ExtractedKey terms such as duration, price, governing law, liability limitation and termination.
Findings & RisksRisky clauses, each with why it matters, the reference in the contract and a recommended redline.
Missing or Weak ClausesProtections such as confidentiality, data protection, indemnification or SLA that are missing or weak.
Top Negotiation PointsThe most important issues to raise with the other party.
Compliance & DataWhether the contract involves personal data and the regulations that apply, such as GDPR, HIPAA or CCPA.
